To what extent will tax inspectors and other auditing bodies accept electronic documents? Won’t they demand paper copies?

Under current legislation (justification below), neither the state fiscal service nor any other state authority has grounds to demand paper documents in cases where electronic documents were signed using a digital signature (DS) from accredited key certification centers (AKCC). For example, here is the official response from the State Fiscal Service to a request regarding the legitimacy of using a digital signature.

How legitimate is the use of a digital signature for maintaining documentation?
The general terms for concluding business contracts are established by Art. 179 of the Commercial Code of Ukraine, part 7 of which refers to the rules of the Civil Code of Ukraine (hereinafter – CC) regarding the procedure for carrying out transactions.

Based on the content of Part 2 of Art. 202 of the CC, a contract is a multilateral transaction.

The forms of a transaction are defined in Art. 205 of the CC. Thus, a transaction may be carried out either orally or in written form, and the parties have the right to independently determine the form of the transaction, unless the law establishes a mandatory form for certain types of transactions.

Transactions between legal entities, according to Art. 208 of the CC, must be carried out in written form.

Requirements for written form are established in Art. 207 of the CC, namely: the content of the transaction must be recorded in one or several documents (including electronic ones), signed by the parties (sealing — by agreement of the parties).

It’s worth noting that the Civil Code equates written and electronic forms of carrying out a transaction (Art. 205 of the CC), while the signing and sealing of an electronic document is regulated by the Law of Ukraine “On Electronic Documents and Electronic Document Workflow” (hereinafter – the Law “On ED”) and the Law of Ukraine “On Electronic Digital Signature” (hereinafter – the Law “On EDS”).

Thus, in defining the term “original electronic document,” Art.7 of the Law “On ED” equates an electronic digital signature to a handwritten one.

The Law “On EDS” establishes certain requirements for recognizing a digital signature as equal to a handwritten signature: the digital signature is confirmed using an enhanced key certificate valid at the time the signature was applied, corresponding to the signer’s private key, by means of reliable digital signature tools.

Thus, based on the above, the conclusion of business agreements by legal entities in electronic form using a digital signature by the parties is fully legitimate.
